Terms of Service

Eligibility - Adults Only (18+)

You must be at least 18 years of age to use the Service. This platform is not intended for children or minors. By creating an account, you affirm and warrant that you are at least 18 years old. If you are under 18, do not use this Service and do not create an account. In some locations, we may be required to restrict access to certain features or content unless you complete an age assurance process and demonstrate that you are an adult. When age assurance is required, we use methods that comply with the laws that apply in that jurisdiction. Pursuant to our Privacy Policy, we do not knowingly collect information from anyone under 18, and will delete any such information promptly when notified.

Agreement to Terms

By creating an account, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy, our Community Guidelines, our Copyright (DMCA) Policy, and our Trademark Policy, which are incorporated herein by reference. You will be required to explicitly confirm your agreement during account creation.

Geographic Restrictions

The Service is intended for and available only to residents of the United States. By using the Service, you represent and warrant that you are a resident of the United States and are accessing the Service from within the United States.

We may use technical measures to restrict access from locations outside the United States. Circumventing these restrictions, including through the use of VPNs or proxy services to misrepresent your location, violates these Terms and may result in immediate account termination.

If you access the Service from outside the United States, you do so at your own risk and are solely responsible for compliance with local laws. We disclaim any liability arising from such unauthorized access.

You represent and warrant that you (a) are not located in, under the control of, or a national or resident of any country or region subject to comprehensive U.S. sanctions or embargo; (b) are not a person identified on, or directly or indirectly owned or controlled by or acting on behalf of any person identified on, any U.S. government restricted party list (including OFAC's SDN List and the U.S. Department of Commerce's Entity List); and (c) will not use the Service for any purpose prohibited by U.S. export control and sanctions laws.

Changes to Terms

We may revise these Terms from time to time. The most current version of the Terms, which will always be available at legal.wepinion.com/TOS, will govern our relationship with you.

If we make changes that we determine to be material, we will notify you before the changes become effective, for example via a notice through the Service or an email to the address associated with your account, and give you an opportunity to review them. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms.

Not Professional Advice

The Service is not intended to provide, and you should not construe any information on the Service as:

• Legal, financial, investment, tax, or accounting advice
• Medical, health, psychological, or therapeutic advice
• Professional counseling or consultation of any kind
• Recommendations to take or refrain from any action
• Endorsement of any particular course of action

Expert Scores Are Not Expertise

The term "Expert Score" is a gamified metric representing historical voting alignment and does not indicate:

• Professional qualifications or credentials
• Subject matter expertise or specialized knowledge
• The ability to predict future outcomes
• Any warranty of accuracy or reliability
• Endorsement by Wepinion of any voter's judgment

Your Responsibility

You acknowledge and agree that:

• All decisions you make are your own responsibility
• You should seek qualified professional advice for important decisions or any decisions based on input from a person with specialized knowledge
• Community votes and Expert Scores should not be the basis for significant life decisions
• Any reliance on information from the Service is at your own risk
• Wepinion is not responsible for any outcomes resulting from your decisions

Account Creation

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials; keep your login information confidential
• Accept responsibility for all actions taken under your account
• Notify us immediately of any suspected unauthorized access or security breach

Personas

Your interaction with Wepinion occurs through an online avatar linked to your account, called a Persona. Wepinion allows you to create up to three (3) pseudonymous Personas. Each Persona:

• May have its own unique display name and avatar
• Maintains separate Expert Scores and activity history
• Is linked to your single underlying account
• Must comply with all Terms of Service
• May not be used to circumvent bans, restrictions, or blocks
• May not be used to manipulate votes or artificially influence outcomes

Wepinion is not liable for any loss, damage, injury, or claim arising from your failure to safeguard your account or Personas. Accounts and Personas are personal to you and may not be sold, transferred, licensed, or assigned without our prior written consent. Wepinion reserves the right to suspend or terminate any account or Personas, in our sole discretion, that we suspect have been transferred in violation of these Terms.

Account Termination

We may suspend or terminate your account and all associated profiles at any time, for any reason, including but not limited to violation of these Terms. You may delete your account at any time through your account settings. Upon termination, certain provisions of these Terms will survive, including Sections 5, 6, 10, 11, 12, 14, and 15.

Cookies and Tracking Technologies

The Service requires the use of cookies and similar tracking technologies to function properly, including for authentication, security, personalization, analytics, and advertising purposes.

By creating an account or using the Service, you consent to our use of cookies as described in our Privacy Policy. If you do not accept our use of cookies, you may not use the Service.

California residents retain the right to opt out of the sale or sharing of personal information as described in our Privacy Policy, regardless of cookie consent.

We honor applicable opt-out rights and browser-based signals (where legally required), such as Global Privacy Control (GPC), regarding the "sale" or "sharing" of personal information under U.S. state privacy laws. See our Privacy Policy for categories of cookies, purposes, and controls.

SMS/Text Messaging

By providing your phone number and consenting to receive SMS messages during account registration, you agree to receive text messages from Wepinion for:

• Account Verification: One-time codes to verify your phone number during registration
• Login Authentication: Verification codes when signing in to your account
• Account Security Alerts: Notifications about suspicious activity or security-related changes to your account
• Account Activity Notifications: Optional alerts about important account activity (if enabled in your settings)

Message Frequency: Message frequency varies based on your account activity. Verification and login codes are sent only when you initiate an action requiring authentication. Optional notifications are sent based on your preferences.

Opting Out: You can opt out of SMS messages at any time by:

• Replying STOP to any message from Wepinion
• Managing your SMS preferences in your account settings under Settings → Notifications

Note: Opting out of SMS messages may limit your ability to use certain features that require phone verification.

Carrier Fees: Message and data rates may apply. Check with your wireless carrier for details about your text messaging plan.

Supported Carriers: Messages are delivered via major U.S. carriers. Wepinion is not responsible for delayed or undelivered messages due to carrier network issues.

Notification Consent

By creating a Wepinion account, you consent to receive notifications about activity on the platform through any communication channel you enable, including email, push notifications on your mobile device, and SMS text messages. You may adjust your notification preferences at any time within the app or by contacting us. Disabling all notification channels does not affect notifications displayed within the Wepinion app itself (your in-app notification inbox).

If you use multiple profiles (personas) on Wepinion, you may configure separate notification preferences for each profile. Notifications will be delivered to your account-level contact information (email address, phone number, device) but will reference the specific profile associated with the activity. Notification content visible on your device lock screen or in emails may include profile names (including pseudonym profile names). You are responsible for managing your device's notification display settings if you wish to prevent profile names from appearing on your lock screen.

Your Use of the Service

Subject to your compliance with these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service and, if applicable, to download and install our mobile application on a device you own or control, solely to access the Service. All rights not expressly granted are reserved by Wepinion.

Your Ownership

You retain ownership of any content you submit, post, or display on or through the Service ("Your Content"). By submitting Your Content, you represent and warrant that:

• You are the creator and owner of Your Content, or have obtained all necessary rights
• Your Content does not infringe any third party's intellectual property rights
• You have any necessary consents from individuals depicted in Your Content
• Your Content complies with all applicable laws and these Terms, including the Community Guidelines

License Between Users

To enable core social functionality, you grant each user of the Service a limited, non-exclusive license to access, display, and share Your Content on the Service as permitted by the features of the Service and your settings. This license terminates when Your Content is deleted from the Service, subject to caching, backups, and lawful archival and as otherwise described in Section 6.

Wepinion has no control over what another user or other third party will do with Your Content once you have shared it on the Service, and cannot prevent it from being copied, photographed, screenshotted, or otherwise converted into a different permanent medium that will allow Your Content to continue to be viewed, shared, and saved after it has been deleted from Wepinion.

Content Responsibility

You are solely responsible for Your Content and the consequences of posting it. Wepinion does not endorse, support, represent, or guarantee the accuracy, completeness, or reliability of any Content posted by users.

Scope of License

This license allows us to:

• Display Your Content to other users of the Service
• Store and backup Your Content on our servers and third-party services
• Modify or adapt Your Content for different display formats
• Use Your Content to promote the Service
• Aggregate and analyze Your Content to improve the Service
• Share Your Content with partners and service providers
• Use Your Content for AI training and development (see Section 7)

This license includes use as reasonably necessary to protect users and the Service; to detect, prevent, and address fraud, abuse, violations of these Terms, and threats to safety; and to comply with legal obligations, lawful requests, or enforceable governmental demands.

License Duration

This license continues even if you stop using the Service, except that we will make reasonable efforts to remove Your Content from public display upon account deletion and request, though cached or archived copies may persist. Your Content may continue to exist in AI models trained before deletion.

Backups and archival copies of Your Content may persist for a limited period consistent with our data retention schedules. We may also retain content and related logs as reasonably necessary for safety, security, fraud prevention, dispute resolution, or legal compliance.

Public Nature of Content

Wepinion is a public-facing platform. You acknowledge that Your Content may be viewed by anyone on the internet, indexed by search engines, and shared by other users. Do not post content you wish to keep private.

AI Training and Development

Wepinion uses artificial intelligence and machine learning technologies. By using the Service, you acknowledge and agree that:

• Your Content may be used to train, develop, and improve AI models
• Voting patterns and decision data may be analyzed by AI systems
• AI-generated insights may be provided to users based on aggregated data
• Your interactions with the Service may help improve AI recommendations

Data Aggregation

We may create anonymized, aggregated datasets derived from user activity for:

• Research and analytics purposes
• Improving Service features and user experience
• Training AI and machine learning models
• Business intelligence and reporting
• Sharing insights with partners (in anonymized form)

We apply reasonable technical and organizational measures designed to de-identify/anonymize and aggregate information used for AI model training and analytics.

Brand Integration

Wepinion may display contextually relevant content from brands and partners based on the topics of your decisions. These integrations are identified as sponsored content and do not represent endorsements of any products or services.

AI Controls and Choices

Where feasible, we may offer settings or processes allowing you to (a) limit the inclusion of certain categories of Your Content (e.g., private or restricted posts) in future AI training; and (b) request exclusion of Your Content from retraining of models after the date of your request, recognizing that any exclusion request may not apply to Your Content shared prior to the request and any content used in prior training and outputs derived therefrom may not be reversible. Additional details will be provided in Help Center resources and may evolve over time.

Summary of Prohibited Content

You may not post, share, or engage with content that:

• Promotes illegal activity, violence, or harm to self or others
• Exploits, endangers, or sexualizes minors
• Harasses, bullies, or threatens other users
• Contains hate speech or attacks protected groups
• Promotes terrorism or violent extremism
• Deliberately spreads harmful misinformation

Summary of Prohibited Conduct/Activities

You agree not to:

• Manipulate votes or impersonate other users, public figures, or Wepinion employees
• Circumvent security measures, including ban evasion, or interfere with the functioning of the Service
• Scrape, harvest, or collect user data without permission
• Use the Service for unauthorized commercial purposes or spam

Automated Access and Data Scraping

You may not access, search, or collect data from the Service by any automated means without our prior written consent.

Moderation Actions; Notice of Action; Appeals

• Notice: Where appropriate and not prohibited by law, we will attempt to provide you with notice of moderation actions and a brief statement of reasons.
• Appeals: If your content or account is restricted or removed, you may appeal within fourteen (14) days using the in-app appeal tool or by emailing appeals@wepinion.com with relevant details (account handle, content links or IDs, reasons you believe the decision was in error, and supporting evidence). Appeals lacking adequate information may not be reviewed.
• Review: We will review appeals in a timely manner and notify you of the outcome. Repeated or abusive appeals may result in loss of appeal privileges.
• Trusted Reporting and Emergencies: We may act on reports from trusted reporters, law enforcement, or credible sources and may take immediate action without prior notice if necessary to prevent imminent harm.

No Warranties

To the maximum extent permitted by applicable law, Wepinion disclaims all warranties, express or implied, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties of accuracy, reliability, or completeness of any content
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the results from using the Service
• Warranties regarding the accuracy of Expert Scores or vote tallies

No Guarantee of Outcomes

Wepinion makes no guarantee that:

• Votes or Expert Scores will predict successful outcomes
• Following community input will result in favorable decisions
• Any decision made based on Service content will be correct or beneficial
• Information provided by other users is accurate or trustworthy

Third-Party Content

Wepinion does not control, endorse, or assume responsibility for any content provided by users or third parties. Any reliance on such content is at your own risk.

Exclusion of Damages

Wepinion, its officers, directors, employees, affiliates, and agents shall not be liable for:

• Any damages arising from decisions you make based on Service content
• Loss of profits, revenue, data, or business opportunities
• Personal injury or property damage from Service use
• Unauthorized access to your account or data
• Service interruptions, bugs, or errors
• Actions or content of other users
• Any other damages arising from Service use

Maximum Liability

In no event shall Wepinion's total liability to you for all claims exceed the greater of (a) the amount you paid to Wepinion in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).

Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Termination by You

You may terminate your account at any time by using the account deletion feature in your settings or by contacting us. Upon termination, your right to use the Service will immediately cease.

Termination by Us

We may suspend or terminate your account, all associated profiles, and your access to the Service at any time, for any reason, with or without cause or notice, including but not limited to:

• Violation of these Terms or any applicable policies
• Conduct that we determine is harmful to other users or the Service
• Request by law enforcement or government agencies
• Extended periods of account inactivity
• Discontinuation or modification of the Service
• Any other reason at our sole discretion

Inactivity Parameters: Accounts may be deemed inactive after twelve (12) months without login or material activity. Before termination for inactivity, we may notify you using the contact information associated with your account and provide a reasonable period to reactivate.

Effect of Termination

Upon termination, your license to use the Service terminates. The following provisions survive termination: Sections 5, 6, 7, 10, 11, 12, 14, 15, and any other provisions that by their nature should survive.

Governing Law

The laws of the State of Delaware, excluding its choice of law provisions, will govern these Terms and any dispute that arises between you and us, notwithstanding any other agreement between you and us to the contrary. All disputes related to these Terms, the Service, or any patents, including without limitation disputes related to or arising from any Content (whether your or others' Content), or your or others' use of the Service or the complete or partial termination thereof, shall be brought and must proceed exclusively in the federal or state courts located in Delaware, and you consent to personal jurisdiction in those courts and waive any objection as to inconvenient forum.

For the avoidance of doubt, the choice of law and forum selection provisions of this section shall apply regardless of whether a dispute or any claims contained therein are based in contract, tort, statute, common law, or otherwise. Without prejudice to the foregoing, you agree that, in its sole discretion, Wepinion may bring any claim, cause of action, or dispute we have against you in any competent court in the country or state in which you reside that has jurisdiction and venue over the claim.

Mandatory Negotiation

Before filing any claim arising out of or relating to these Terms or the Service, you agree to first provide Wepinion with a written Notice of Dispute at legal@wepinion.com that includes your name, contact information, a description of the dispute, and the specific relief sought. The parties will attempt to resolve the dispute informally via phone or videoconference. If the dispute is not resolved within sixty (60) days of receipt, either party may bring an action in the appropriate jurisdiction.

Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WEPINION AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive the right to participate as a plaintiff or class member in any purported class action, collective action, or representative action proceeding against Wepinion, its officers, directors, employees, affiliates, or agents.

If for any reason a claim proceeds in court rather than in arbitration, you and Wepinion each waive any right to a jury trial.

You may opt out of the class action waiver by sending written notice within thirty (30) days of creating your account.

If you opt out, the opt-out will apply only to the class action waiver provision. All other provisions of these Terms will continue to apply to you.

Time Limitation on Claims

You and Wepinion agree that you must initiate any proceeding or action asserting a federal claim within one (1) year of the date of the occurrence of the event or facts giving rise to a dispute that is arising out of or related to these Terms or the Service. You and Wepinion agree that you must initiate any proceeding or action asserting a state law claim within two (2) years of the date of the occurrence of the event or facts giving rise to a dispute that is arising out of or related to these Terms or the Service.

Otherwise, to the extent permitted by applicable law, you forever waive the right to pursue any claim or cause of action, of any kind or character, based on such events or facts, and such claims or causes of action are permanently barred. This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

Injunctive Relief

Notwithstanding the foregoing, Wepinion may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights, data rights, confidential information, or these Terms, including but not limited to violations of our anti-scraping provisions.

Force Majeure

Wepinion shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control. Such circumstances include, but are not limited to:

• Natural disasters, acts of God, earthquakes, floods, fires, or severe weather
• Wars, acts of terrorism, civil unrest, or armed conflict
• Epidemics, pandemics, or public health emergencies
• Government actions, laws, regulations, embargoes, or sanctions
• Power outages, internet or telecommunications failures
• Cyberattacks, including DDoS attacks, hacking, ransomware, or malware
• Strikes, labor disputes, or shortages of materials
• Third-party service provider failures

During such events, our obligations under these Terms are suspended until the force majeure event concludes, without liability to you or any third party.

Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable:

• That provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent;
• If modification is not possible, the provision shall be severed from these Terms;
• The remaining provisions shall continue in full force and effect;
• The invalid provision shall be reformed to reflect the parties' intentions as closely as possible while complying with applicable law.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Wepinion regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Wepinion.

Headings

The section titles and headings in these Terms are for convenience only and have no legal or contractual effect.

Language

These Terms are written in English. If these Terms are translated into any other language, the English language version shall take precedence. You acknowledge that English shall be the language of reference for interpreting and construing the terms of this agreement.

Opt-Out

You can stop receiving SMS messages at any time by replying STOP to any message from Wepinion. You may also adjust your SMS preferences in your account settings or email legal@wepinion.com with the subject line "SMS Opt-Out."

Opt-In and Consent

Push notifications from Wepinion are opt-in. When you first use the Wepinion mobile app, the app will request your permission to send push notifications. You can grant or deny this permission. If you deny permission, you will not receive push notifications and the app will not register a device token for your device.

If you grant permission, your device's push notification token will be registered with your Wepinion account. This token allows our servers to send notifications to your specific device.

Types of Push Notifications

You may receive push notifications about the following types of activity:

• Feedback received on your decisions
• Replies to your comments
• Invitations to join groups, temporary groups, and guided decisions
• Membership approvals for groups you requested to join
• Comments on your decisions (if configured for immediate delivery)
• New followers (if configured for immediate delivery)
• Snap decisions from people you follow or groups you belong to
• New decisions posted in your groups

Push notifications are not used for marketing or promotional purposes. They are limited to activity directly related to your use of the Wepinion platform.

Notification Delivery

Push notifications are delivered through third-party notification delivery services that transmit notifications to your device's platform notification service (such as Apple's push notification service for iOS devices). Notification delivery requires an active internet connection on your device.

The notification system uses a channel priority approach. If you have push notifications enabled and a registered device token, push is attempted first. If push delivery fails (for example, if your device token has expired), the system will attempt delivery via email. This ensures you receive important notifications even if one channel is temporarily unavailable. You will not receive the same notification through multiple channels.

Notification Content and Privacy

Push notification content may include names, profile handles, group names, and brief descriptions of the activity that triggered the notification. If you use pseudonym profiles, the pseudonym name may appear in notification content.

Push notification previews may be visible on your device lock screen and notification center. To control what notification content is visible on your lock screen, adjust your notification preview settings in your device's Settings app.

Notification taps may open the Wepinion app directly to the relevant content using deep links. These deep links include profile and content identifiers necessary for routing within the app.

Opting Out

You can stop receiving push notifications at any time through either of these methods:

• In the Wepinion app: Go to your profile's notification settings and disable push notifications. You can disable push notifications for individual profiles while keeping them enabled for others.
• On your device: Go to Settings, then Notifications, then Wepinion, and toggle Allow Notifications off. This disables all push notifications from Wepinion regardless of your in-app settings.

When you opt out, your device token remains registered but inactive. If you log out of the app, your device token is deleted from our servers.

Data Handling

Device tokens are stored in our database associated with your user account. We store the token value, device platform, and registration timestamp. Device tokens are deleted when you log out of the app on that device or when you delete your Wepinion account. We do not sell device tokens or share them with third parties other than the notification delivery services described in our Privacy Policy.

Relationship to Other Notification Channels

Push notifications are one of three notification channels available on Wepinion. The others are email and SMS. Each channel can be enabled or disabled independently for each of your profiles. The channel priority system means that enabling push notifications may reduce the number of email notifications you receive, since the system delivers each notification through only one channel.
